Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CUTTKR, including cuttkr.com and related CUTTKR services.

CUTTKR is a product of Motion Graphic Warehouse LLC, a Texas limited liability company (“CUTTKR,” “we,” “us,” or “our”).

By creating or using a CUTTKR account, you agree to these Terms. If you do not agree, do not use CUTTKR.

About CUTTKR

CUTTKR is a project tracking and workflow application designed for video editors and creators.

CUTTKR may provide tools for managing projects, workflow stages, deadlines, versions, reviews, revisions, alternate cuts, tasks, notes, connected review services, and deliverables.

Features may change as the service evolves.

Accounts

CUTTKR accounts may currently be created by invitation.

You are responsible for:

• Providing accurate account information
• Maintaining the confidentiality of your login credentials
• Activities performed through your account
• Promptly notifying us if you believe your account has been compromised

You may not share or misuse credentials in a way that bypasses CUTTKR access controls.

Acceptable Use

You agree not to:

• Use CUTTKR for unlawful purposes
• Attempt unauthorized access to another person’s account or data
• Interfere with CUTTKR’s operation or security
• Probe, scan, or test CUTTKR for vulnerabilities without authorization
• Circumvent authentication or access restrictions
• Introduce malicious code
• Use automated systems in a manner that harms or overloads the service
• Reverse engineer CUTTKR except where applicable law prohibits such restrictions
• Use CUTTKR to store or distribute content that violates applicable law or another party’s rights

We may suspend or terminate access that violates these Terms or threatens the service or its users.

Your Content and Project Data

You retain ownership of project information, notes, links, feedback, and other content you enter into CUTTKR.

You grant Motion Graphic Warehouse LLC a limited right to host, process, transmit, display, back up, and otherwise handle that content only as reasonably necessary to operate, secure, support, and improve CUTTKR.

You are responsible for ensuring that you have the right to enter, store, or link the information you place in CUTTKR.

CUTTKR does not claim ownership of your creative work, client projects, media, or intellectual property.

Backups

CUTTKR may provide backup and export tools, including JSON or CSV exports.

You remain responsible for maintaining independent backups of important information.

CUTTKR should not be treated as the sole archival location for irreplaceable project records, final media, client assets, or business-critical information.

Third-Party Services

CUTTKR may integrate with or link to services such as Frame.io, Adobe, Vimeo, Google Drive, Dropbox, and other platforms.

Your use of those services is governed by their own terms and policies.

CUTTKR does not control and is not responsible for third-party outages, changes, account restrictions, security practices, or data handling.

Integrations may change or stop working if a third-party provider modifies its service or API.

CUTTKR Intellectual Property

CUTTKR software, design, branding, logos, documentation, interface, and related materials are owned by or licensed to Motion Graphic Warehouse LLC and are protected by applicable intellectual property laws.

These Terms do not grant you ownership of CUTTKR software or branding.

You may not copy, reproduce, sell, license, distribute, or create derivative commercial products from CUTTKR except with written permission.

Feedback

We welcome feedback about CUTTKR.

If you provide suggestions, feature ideas, bug reports, or other feedback, you grant Motion Graphic Warehouse LLC permission to use that feedback to develop, improve, market, or operate CUTTKR without restriction or obligation to compensate you.

You retain ownership of your underlying creative work and project information.

Availability and Changes

CUTTKR is under active development.

We may:

• Add or remove features
• Modify workflows
• Update integrations
• Change the interface
• Perform maintenance
• Temporarily suspend portions of the service
• Discontinue features or the service

We do not guarantee uninterrupted or error-free availability.

Where practical, we will attempt to avoid unnecessary disruption to active users.

Private Beta

CUTTKR is currently offered as a private beta.

Beta features may contain bugs, incomplete functionality, errors, or unexpected behavior.

The CUTTKR Private Beta Terms apply to private beta participants and are incorporated into these Terms.

Fees and Future Subscriptions

Private beta access is currently provided without charge unless otherwise stated.

CUTTKR may introduce paid subscriptions or other paid services in the future.

We will provide applicable pricing and billing terms before charging users.

Participation in a free beta does not guarantee permanent free access or a particular future price.

Termination

You may stop using CUTTKR at any time.

You may request account deletion by contacting hello@cuttkr.com.

We may suspend or terminate access when reasonably necessary because of:

• Violation of these Terms
• Security concerns
• Fraud or abuse
• Legal requirements
• Discontinuation of the service

Termination of login access does not necessarily result in immediate deletion of every stored record.

Disclaimer of Warranties

To the maximum extent permitted by law, CUTTKR is provided on an “as is” and “as available” basis.

We do not guarantee that CUTTKR will:

• Always be available
• Be free from bugs or errors
• Meet every workflow requirement
• Prevent every data-loss event
• Remain compatible with every third-party service

You use CUTTKR at your own risk.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

Limitation of Liability

To the maximum extent permitted by applicable law, Motion Graphic Warehouse LLC and CUTTKR will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use CUTTKR.

This includes, where legally permitted, loss of profits, business opportunities, productivity, project information, client information, or data.

To the maximum extent permitted by law, our total aggregate liability arising from CUTTKR will not exceed the amount you paid to CUTTKR during the twelve months before the event giving rise to the claim, or $100 USD if you have not paid CUTTKR, unless applicable law requires otherwise.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Motion Graphic Warehouse LLC, CUTTKR, and their owners, officers, contractors, and representatives from claims arising from your unlawful use of CUTTKR, your violation of these Terms, or your infringement of another party’s rights.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute arising from these Terms or CUTTKR will be brought in a court of competent jurisdiction located in Texas unless applicable law requires otherwise.

Changes to These Terms

We may update these Terms as CUTTKR develops.

Continued use of CUTTKR after updated Terms become effective constitutes acceptance of the revised Terms where permitted by law.

Material changes may be communicated through the website, application, or email.
